User Terms of Service

Welcome! Thank you for using Briefspace.

TL;DR

We built Briefspace to help businesses streamline the process of creating tasks, collecting files and feedback from their clients, and securing approvals. Each paying subscriber to the Service can white-label the user interface with their own logo and brand, while typically retaining our Briefspace favicon. The subscription-based Service (with a free tier currently offered and free trials available at times) offers a custom subdomain, e.g., acme.briefspace.co. If You sign up, You agree to these Terms.

By accessing or using Briefspace, You are agreeing to the Terms of Service below (these “Terms”) and our upcoming Privacy Policy (collectively, the “Agreement”). If You don't agree, please don't use Briefspace.

Modifications. We may update these Terms in the future, for example, to reflect changes in the law, changes to the Service, or clarifications. We'll post a revised version on our website. When we make significant changes, we'll update the “Last updated” date and may notify You by email or through the Service. Continued use of Briefspace after any such changes constitutes Your acceptance of the revised Terms.

2. Account Creation and Responsibilities

2.1 Registration. To use Briefspace, You must create an account with accurate info, including a valid email address, and set a secure password. You're responsible for all activity under Your credentials and for maintaining the confidentiality of Your password.

2.2 Subdomains. Each organization or user on a free or paid plan can choose or receive a custom subdomain for their Briefspace environment. We reserve the right to reclaim or reassign subdomains if needed.

2.3 White Label. If Your plan includes white labeling, certain references to “Briefspace” (like favicons) may remain. White labeling does not grant ownership of any underlying software or IP. You may not remove or obscure Briefspace branding without our permission.

2.4 Users and Permissions. If You invite others (team members, clients) into Your account, You are responsible for their activities. By enabling external sharing (files, tasks), You assume responsibility for any content they upload or share.

2.5 Security. You agree to take reasonable security precautions, and promptly notify us at support@briefspace.co if You suspect unauthorized access to Your account.

3. Payments, Plans, and Billing

3.1 Subscription Plans. We offer various paid plans, typically recurring monthly or annually. By subscribing, You authorize charges to Your credit card via Stripe.

3.2 Free Trials. We may offer free trials. After it ends, You must provide payment information or stop using Briefspace.

3.3 Automatic Renewal. Unless canceled, Your subscription auto-renews. Charges for renewal typically occur 1 day before the renewal date.

3.4 Refunds. Annual plans come with a 60-day money-back guarantee. Just email us to cancel, anytime. Otherwise, all fees are non-refundable. In special cases (like a proven billing error), contact us at support@briefspace.co.

3.5 Taxes. You're responsible for all applicable taxes. We'll collect and remit taxes when required by law.

4. Use of Service; Important Disclaimers

4.1 Acceptable Use. You agree not to violate laws, infringe IP, or store/distribute harmful/inappropriate content. You must not interfere with or disrupt the Service or attempt unauthorized access.

4.2 Database and Data Storage & Reliability. We use Appwrite for database and storage. We utilize daily backups in case of data loss. While we strive for reliability, no system is perfect. We encourage independent backups where necessary.

4.3 Third-Party Integrations. If You connect third-party services, You do so at Your own risk. Payment is handled via Stripe, subject to Stripe's terms.

4.4 White-Label Clients and End Users. If You white-label Briefspace for others, You are fully responsible for their usage and compliance with these Terms.

5. Intellectual Property

5.1 Our IP. All rights to Briefspace software, branding, designs, logos, and code belong to Brief LLC. We grant You a limited license to use the Service under these Terms.

5.2 Your Content. You retain ownership of files/data You upload (“Your Content”). In certain cases, You grant us a limited license to process and display that content to run Briefspace. You promise You have the rights to upload the content and aren't violating third-party rights. You can delete Your Content at any time.

6. Termination

6.1 By You. You can cancel at any time via the organization settings and billing dashboard. If You cancel a paid plan, access continues until the billing cycle ends (unless You request immediate deactivation).

6.2 By Us. We can suspend/terminate for Your breach, payment failures, or security/legal risks.

6.3 Data after Termination. We may retain Your Content for up to 90 days, then delete it. We are not obligated to retain copies unless required by law.

7. Warranties and Disclaimers

We provide Briefspace “as is” and “as available,” without warranties of any kind (express or implied). We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that Briefspace will be uninterrupted, error-free, or perfectly secure. You use Briefspace at Your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, Brief LLC is not liable for indirect, special, incidental, or consequential damages. Our total liability is limited to the amount You paid in the preceding 3 months, or USD $100 if no payment has been made.

9. Indemnification

You agree to indemnify and hold harmless Brief LLC and its affiliates from any claims or damages arising out of Your use of Briefspace, Your content, or Your violation of these Terms or law.

10. General Provisions

10.1 Governing Law and Venue. Governed by California law, with disputes heard in Sacramento County. Both parties waive the right to a jury trial. Any claim must be brought within 1 year.

10.2 Force Majeure. No liability for delays caused by conditions beyond our control (natural disasters, war, strikes, etc.).

10.3 Assignment. You may not assign this Agreement without our written consent. We may assign freely.

10.4 Entire Agreement. These Terms plus any policy references are the complete agreement. They supersede prior agreements.

10.5 Severability. Invalid or unenforceable provisions do not affect the rest of the Terms.

10.6 No Waiver. Failure to enforce a right is not a waiver of that right.

10.7 Notices. We can provide notices via email or within the Service. Send notices to us at legal@briefspace.co.

10.8 Relationship. We are independent contractors; nothing here creates a partnership or agency relationship.
